These Terms of Sale ("Terms") apply to every purchase made on sharpxrm.com, including licenses for Address Validation for Microsoft Dynamics 365 and Microsoft Power Apps. They are an agreement between Sharp XRM Information Systems ("Sharp XRM", "we", "us") and the organization placing the order ("Customer", "you"). Your use of the software itself is governed by our End User License Agreement ("EULA").
By placing an order, you confirm that you are authorized to bind your organization and that you accept these Terms and the EULA.
1. Products and licenses
- Licenses are sold per Microsoft Dataverse environment (a Microsoft Dynamics 365 or Microsoft Power Apps instance). Every environment where the product is installed, production or non-production (sandbox), needs its own license.
- Each license covers unlimited Microsoft Dataverse users in its environment and the connector(s) included with the product purchased, as described on our pricing page.
- Licenses are for your organization's own business use and may not be resold, transferred or shared, as set out in the EULA.
2. Third-party services
The product's connectors use address data services provided by third parties (for example Azure Maps, Google Maps, Canada Post, PostGrid or Melissa). Unless the pricing page says otherwise, the provider's API keys or license keys are not included: you obtain them directly from the provider, you pay any fees the provider charges, and your use of their service is subject to their terms. We are not responsible for the availability, accuracy or pricing of third-party services, or for changes they make that affect the product.
3. Prices and taxes
- Prices are listed on our pricing page in US dollars (USD), per environment, per year.
- Prices do not include taxes. We charge the sales taxes required by law, including the federal GST/HST and the Quebec QST. They are calculated from your billing address, shown before you pay and added to your order at checkout. If you buy for a business, you can enter your tax registration number at checkout.
- Some products are priced on request; we provide a written quote.
- We may change our prices at any time. A price change does not affect an order that has already been paid; renewals are charged at the price in effect on the renewal date.
4. Ordering and payment
- Orders are paid in full when placed, for the full subscription year, by credit card through our payment processor, Stripe. We never receive or store your full card number. Stripe emails your receipt.
- Quotes and payment by invoice are available on request.
- We may decline or cancel an order, for example because of a pricing error or suspected fraud. If we do, we refund the full amount paid.
5. Delivery
Once your payment is confirmed, we review your order and email your license key(s) and activation instructions to the email address given at checkout within three (3) business days. If you have not received them, contact support@sharpxrm.com.
6. Term and renewal
- Each license is valid for one (1) year from the date of purchase.
- Renewal is not automatic. We send a renewal reminder about one month before your subscription ends, and you renew by paying for another year.
- A license that is not renewed expires, and the product stops working in that environment within fifteen (15) days after the end of the subscription.
7. Free trials
We offer a free trial so you can evaluate the product in your own environment before buying. Trials are time-limited, are provided "as is" for evaluation only, and may be ended or extended at our discretion. At the end of a trial the product stops working unless a license is purchased.
8. Refunds
Within thirty (30) days of purchase, you can cancel and request a refund for any license that has not been activated. Refunds are subject to a 20% cancellation fee, and the license keys concerned are cancelled when the refund is issued. To request one, write to support@sharpxrm.com from the email address used for the purchase; we refund to the original payment method. Licenses that have been activated, and any license more than thirty (30) days after purchase, are non-refundable, including for any unused part of a subscription period, except where the law requires otherwise or where we cancel an order as described in section 4.
9. Support and updates
Every active license includes maintenance: support through our help center and customer portal, and the product enhancements and upgrades we release during your subscription.
10. Warranty and limitation of liability
The product is provided as described in the EULA, including its warranty disclaimer. To the extent permitted by law, and except in the case of intentional or gross fault, our total liability arising out of or relating to an order is limited to the amount you paid for the license(s) concerned during the twelve (12) months before the claim, and we are not liable for any indirect, incidental, special or consequential damages, including loss of data, revenue or profits.
11. Personal information
We handle the information you provide when ordering as described in our Privacy Policy. Card payments and sales tax calculations are handled by Stripe.
12. Changes to these Terms
We may update these Terms from time to time by posting a new version on this page. The version in effect when you place an order applies to that order.
13. Governing law
These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada that apply there, wherever you are located. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Any dispute relating to these Terms or an order is subject to the exclusive jurisdiction of the courts of the judicial district of Montreal, Quebec.
